Termination of Office
Under the Companies Act and standard provisions, a director may resign by giving written notice to the company. The effective resignation of a director depends on factual circumstances and may also terminate employment or service contracts, raising potential issues under employment law. While a director may be removed through a general meeting resolution or as provided in the company’s constitution, this may expose the company to claims if the removal breaches contract or employment rights.
