Registers
An Irish company must have a registered office in Ireland, with its details registered with the Companies Registration Office (CRO). Any changes to the registered office must be notified to the CRO within 14 days. The office may be represented “care of” an approved agent. A range of important company documents must be stored at the registered office, including registers of members, directors, mortgages, and service contracts.
The company name must be prominently displayed at every business location and on all business documents. Business letters, order forms, and the company website must include the company’s registered name, registration number, address, and director details, such as names and nationality. Non-compliance is a category 4 offence.
The company must maintain a register of directors and secretaries, including names, birthdates, addresses, and other key details. Members can inspect certain registers, while others are open to public inspection for a fee. Directors and secretaries must provide the necessary information to the company for these records. A failure to provide such information or ensure its accuracy may result in a category 3 offence, with penalties applicable to both the company and its officers.
