Meetings

The Companies Act 2014 introduced greater flexibility, allowing multi-member companies to dispense with AGMs through unanimous written resolutions. Single-member companies were already exempt from AGM requirements. Shareholders holding at least 50% of voting rights can convene an EGM directly if directors fail to do so.

Meetings can be held remotely or abroad, provided technological means allow all members to participate effectively. Consent from all members is required for meetings outside the state unless arrangements ensure local participation.

AGM business includes reviewing financial statements, declaring dividends, appointing auditors, and addressing directors’ remuneration. Any other issues raised constitute special business. Copies of financial documents must be circulated at least 21 days before the AGM.

Auditors’ reports are read at AGMs but reappointment is automatic unless resigned or replaced. Approval of accounts is not required, as statutory compliance is achieved by laying them before the meeting.
